LOCKR LABS IS SOLELY A SOFTWARE, ACCESS-CONTROL, AND TECHNOLOGY PLATFORM PROVIDER.

LOCKR LABS IS NOT:

• a bicycle rental company;
• a transportation provider;
• a carrier;
• a bike operator;
• a fleet manager;
• a travel provider;
• a tour company;
• a safety inspection company;
• a security company;
• an insurer;
• or a guarantor of rider safety or property security.

LOCKR LABS DOES NOT:

• own bicycles or rental assets;
• maintain bicycles;
• inspect bicycles;
• repair bicycles;
• supervise rides;
• provide helmets;
• control rider conduct;
• operate rental locations;
• control roads, trails, or riding environments;
• employ rental staff at operator locations;
• or control the operational conduct of rental providers.

THE PLATFORM ONLY PROVIDES:

• software infrastructure;
• reservation functionality;
• mobile applications;
• payment integration;
• smart-lock access functionality;
• account systems;
• and operational workflow tools.

ALL RENTAL ASSETS ARE OWNED, MAINTAINED, OPERATED, CONTROLLED, AND RENTED BY INDEPENDENT THIRD-PARTY RENTAL OPERATORS (“OPERATORS”).

OPERATORS ALONE ARE RESPONSIBLE FOR:

• bicycle condition;
• mechanical safety;
• maintenance;
• inspections;
• tire inflation;
• brake functionality;
• helmets;
• rider safety;
• rider instructions;
• local law compliance;
• operational procedures;
• pricing;
• insurance;
• and all rental operations.

LOCKR LABS DOES NOT CONTROL OR SUPERVISE ANY PHYSICAL RENTAL ACTIVITY.

Your rental transaction may also be governed by separate:

• rental agreements,
• waivers,
• releases,
• payment policies,
• cancellation rules,
• and operational terms provided by the Operator.

LOCKR LABS IS NOT A PARTY TO THOSE AGREEMENTS.

You must be at least 18 years old to use the Platform unless otherwise permitted by applicable law and the Operator.

By using the Platform, you represent that:

• you are legally capable of entering binding agreements;
• your information is accurate;
• you will comply with applicable laws;
• and you are physically capable of safely operating rental equipment.

RIDING BICYCLES, E-BIKES, SCOOTERS, OR OTHER RENTAL EQUIPMENT INVOLVES INHERENT AND OBVIOUS RISKS THAT MAY RESULT IN SERIOUS INJURY, PERMANENT DISABILITY, PROPERTY DAMAGE, OR DEATH.

These risks include, without limitation:

• collisions with vehicles;
• collisions with pedestrians;
• road hazards;
• uneven pavement;
• weather;
• traffic;
• mechanical failures;
• brake failures;
• tire failures;
• rider negligence;
• operator negligence;
• poor maintenance;
• theft;
• criminal conduct;
• lock malfunction;
• distracted driving by third parties;
• acts of God;
• and other foreseeable or unforeseeable dangers.

YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH:

• RENTING;
• UNLOCKING;
• ACCESSING;
• OPERATING;
• OR RIDING ANY RENTAL ASSET.

YOU ARE SOLELY RESPONSIBLE FOR YOUR SAFETY.

LOCKR LABS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING:

• bicycle safety;
• roadworthiness;
• maintenance quality;
• legal compliance;
• rider suitability;
• lock effectiveness;
• operator conduct;
• or operational reliability.

ALL EQUIPMENT IS PROVIDED BY OPERATORS “AS IS.”

LOCKR LABS DOES NOT VERIFY THE CONDITION OF ANY RENTAL ASSET.

SMART LOCKS, ACCESS SYSTEMS, AND RELATED HARDWARE PROVIDED THROUGH THE PLATFORM ARE CONVENIENCE AND ACCESS-MANAGEMENT TOOLS ONLY.

THEY ARE NOT SECURITY GUARANTEES.

NO LOCK, SMART LOCK, CABLE, OR SECURITY DEVICE CAN PREVENT ALL:

• THEFT;
• VANDALISM;
• TAMPERING;
• OR UNAUTHORIZED ACCESS.

LOCKR LABS DOES NOT REPRESENT OR WARRANT THAT:

• LOCKS ARE THEFT-PROOF;
• LOCKS CANNOT BE CUT;
• LOCKS CANNOT BE BYPASSED;
• BICYCLES WILL NOT BE STOLEN;
• OR UNAUTHORIZED ACCESS WILL NEVER OCCUR.

DETERMINED THIRD PARTIES MAY DEFEAT OR CIRCUMVENT PHYSICAL SECURITY SYSTEMS.

OPERATORS REMAIN SOLELY RESPONSIBLE FOR:

• FLEET SECURITY;
• INSURANCE;
• ASSET RECOVERY;
• OPERATIONAL SECURITY PROCEDURES;
• AND THEFT RISK MANAGEMENT.

LOCKR LABS SHALL NOT BE LIABLE FOR:

• STOLEN BICYCLES;
• PROPERTY LOSS;
• THEFT;
• VANDALISM;
• CRIMINAL ACTS;
• OR LOSSES ARISING FROM LOCK FAILURE OR LOCK CIRCUMVENTION.

THE PLATFORM MAY EXPERIENCE:

• CONNECTIVITY INTERRUPTIONS;
• GPS ERRORS;
• CELLULAR FAILURES;
• SOFTWARE BUGS;
• SERVER OUTAGES;
• PAYMENT INTERRUPTIONS;
• OR HARDWARE FAILURES.

LOCKR LABS DOES NOT GUARANTEE:

• CONTINUOUS PLATFORM OPERATION;
• REAL-TIME ACCESS;
• LOCATION ACCURACY;
• OR ERROR-FREE FUNCTIONALITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE LOCKR LABS AND ITS:

• AFFILIATES;
• OFFICERS;
• DIRECTORS;
• EMPLOYEES;
• MEMBERS;
• CONTRACTORS;
• LICENSORS;
• TECHNOLOGY PROVIDERS;
• SUCCESSORS;
• AND ASSIGNS

FROM ANY CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, OR EXPENSES ARISING OUT OF OR RELATED TO:

• RIDER INJURY;
• DEATH;
• COLLISIONS;
• PROPERTY DAMAGE;
• BICYCLE FAILURES;
• LOCK FAILURES;
• THEFT;
• OPERATOR NEGLIGENCE;
• CRIMINAL ACTS;
• ROAD CONDITIONS;
• USER NEGLIGENCE;
• OR PLATFORM INTERRUPTIONS.

THIS RELEASE APPLIES TO CLAIMS BASED ON:

• NEGLIGENCE;
• CONTRACT;
• TORT;
• STRICT LIABILITY;
• PRODUCT LIABILITY;
• PREMISES LIABILITY;
• WRONGFUL DEATH;
• OR ANY OTHER LEGAL THEORY,

EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCKR LABS SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• CONSEQUENTIAL DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOSS OF PROFITS;
• LOSS OF REVENUE;
• LOSS OF DATA;
• BUSINESS INTERRUPTION;
• PERSONAL INJURY;
• DEATH;
• OR PROPERTY DAMAGE.

LOCKR LABS’ TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:
(a) $100; OR
(b) THE TOTAL AMOUNT PAID DIRECTLY TO LOCKR LABS BY YOU IN THE PRECEDING 12 MONTHS.

You agree:

• not to ride while impaired;
• not to tamper with locks;
• not to damage equipment;
• not to violate laws;
• not to permit unauthorized riders;
• and not to misuse the Platform.

You are financially responsible for:

• damage caused by you;
• unauthorized use under your account;
• and violations of these Terms.

Operators determine rental pricing.

LOCKR LABS IS NOT RESPONSIBLE FOR:

• OPERATOR PRICING;
• REFUND DECISIONS;
• OPERATOR FEES;
• OR OPERATOR CANCELLATION POLICIES.

Payments may be processed through third-party providers including Stripe.

The Platform may collect:

• GPS data;
• device identifiers;
• ride telemetry;
• usage analytics;
• lock interaction logs;
• and operational information.

This information may be used for:

• rentals;
• fraud prevention;
• theft investigation;
• asset recovery;
• dispute resolution;
• analytics;
• operational support;
• and system improvement.

Your use of the Platform is also governed by our Privacy Policy.

You agree to indemnify and hold harmless Lockr Labs from claims arising out of:

• your conduct;
• your riding activity;
• your negligence;
• your misuse of the Platform;
• your violation of law;
• or your breach of these Terms.

ALL DISPUTES SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION.

YOU WAIVE:

• JURY TRIAL RIGHTS;
• CLASS ACTION RIGHTS;
• AND COLLECTIVE CLAIM RIGHTS.

NO CLASS ACTIONS OR REPRESENTATIVE CLAIMS ARE PERMITTED.

These Terms shall be governed exclusively by the laws of the State of Delaware.

We may suspend or terminate access at any time without liability.

We may modify these Terms at any time.

Continued use constitutes acceptance.
